The opportunity

The role is an Assistant General Counsel for Technology and Managed Services, responsible for providing legal support related to managed services and technology solutions. The focus includes drafting, updating, and negotiating clientfacing agreements, advising on risk, and collaborating with crossfunctional teams.

Key Responsibilities

  • Drafting, updating, and negotiating clientfacing Technology & Managed Services Agreements
  • Advising on key legal risks in managed services agreements
  • Collaborating closely with US GCO members and local counsel in other EY member firms
  • Coordinating legal resources on managed services projects
  • Supporting coordination with crossfunctional business and internal support teams (Data Privacy, Talent, Information Security, and Tax)
  • Advising on the accuracy and sufficiency of contractual documentation to protect EY interests
  • Understanding existing EY policies and developing/enhancing policies and guidance for managed services and other technology services
  • Managing workflow in a dynamic environment, remaining responsive, reliable, communicative, and accountable to team leadership and other members of the GCO
  • Building relationships and collaborating with GCO members to deliver exceptional client service
  • Developing and delivering training on Technology & Managed Services Agreements, knowledge sharing, and best practice across the legal network and business

Qualifications

  • 8+ years of relevant complex services and technologyrelated transactional experience, including drafting and negotiating Technology & Managed Services Agreements
  • Experience negotiating with clients internal counsel, external law firms, and procurement
  • Experience developing contracting templates, playbooks, and standards
  • Experience in data privacy, intellectual property, and technology provision within agreements
  • Experience with crossborder contracting (employee matters, autotransfer laws, local country agreements, crossborder data transfer)
  • Ability to assess and negotiate terms for current and new technologies (cloud, AI) and explain related risks
  • Excellent oral and written communication skills
  • Excellent negotiation and interpersonal skills
  • High cultural and emotional intelligence, adaptability, resilience, flexibility, and ability to manage changing circumstances
  • Ability to work independently and collaborate across functions and geographies
  • Strong grasp of complex legal and contractual principles, balancing legal and commercial risk
  • Highly responsive; capable of managing high workloads and competing priorities
  • Solution oriented with focus on exceptional client service
  • Experience leading negotiations in a managed services counsel role in a technology or consulting organization
  • Bachelors degree from an accredited 4year college
  • Juris Doctor from an accredited law school
  • Membership in a State Bar and good standing, including current CLE requirements

We offer a competitive compensation package based on performance and recognition of value brought to the business. The base salary range for this role in the United States is $210,900 to $406,000.
